By hiring/retaining Fried Egg Web Design (FEWD) for website services, you (Client) agree to the following Policies:

Payment Methods Accepted

FEWD accept all major cards, bank transfer (e-check), and check. Payment by card or bank transfer will be invoiced and paid electronically. Payment by check must be mailed to FEWD.

Services Payment Terms

For services including a Website Package:
– 50% Deposit to begin work
– Remaining balance before website launch

All other standalone services must be paid in full before work begins. Payment plans available if discussed with FEWD.

Late Payment

A Late Fee of $50 will be added after 7 days of non-payment from the invoice due date. Services will be discontinued after 14 days of non-payment from the invoice due date, with a $100 reinstatement fee to resume services. Client shall pay all collection or legal fees caused by late payments. FEWD may withhold delivery and transfer of ownership of any current work if accounts are not current or overdue invoices are not paid in full.

Website Hosting & Management

All FEWD-built websites are required without waiver to be hosted and managed exclusively by FEWD. The Website Hosting & Management fee is $99/month plus tax. Billing occurs monthly on the 15th and begins on the following month after your website has launched.

Cancellation

Monthly Hosting & Management may be canceled at any time in the future after 6 months from date of website completion/launch. FEWD understands if Client would prefer to move to another hosting company/platform. A fee of $499 will be charged to package website + associated files and delivered electronically to Client if Client wishes to take their website. Client acknowledges that certain features/plugins will cease to work once transferred away from FEWD as plugin license keys are solely held and paid for by FEWD and do not belong to Client. If Client wishes to continue using certain features/plugins then Client will be required to setup their own billing and configurations with the respective plugin companies. After website is transferred away from FEWD, FEWD has no obligation to assist Client with any further website work/issues unless Client pays the Hourly service rate of $100/hr to FEWD.

Revisions

Minor Update: Client shall be entitled to a reasonable number of minor revisions after the website launch. Minor revisions include but are not limited to: text changes, image swaps, phone/address update, link changes/additions, etc. (typically something that can be done under 20 minutes)

Major Update: Any revisions beyond minor edits shall be chargeable at the Hourly service rate of $100/hour plus any fees associated with additional plugins. This may include but are not limited to: additional features/plugins, layout or page rearrangement, large design changes, build additional pages, etc.

Ownership Rights

Client continues to own any and all proprietary information it shares with FEWD during the service period. FEWD has no rights to this proprietary information and may not use it except to complete the services. Client represents and warrants that he/she has the rights to use any proprietary information, including, but not limited to trade secrets, trademarks, logos, copyrights, images, data, figures, content, and the like that it may provide to Designer to be included in this Website. Upon completion of the services, Client will own the final website design and all media assets accompanying it.

While FEWD will customize Client’s website services to Client’s specifications, Client recognizes that websites generally have a common structure and basis. FEWD continues to own any and all template designs, plugins, license keys, etc. it may have created prior to services for Client. Designer will further own any template designs, plugins, license keys, etc. it may create as a result of services for Client.

Backend Access

Client acknowledges that he/she will not be granted access to the backend of the website due to security and proprietary protection measures. This ensures Client does not ‘break’ any functions or structures of the website due to limited knowledge. Client or any external party hired by Client will be denied access to the backend to edit websites built by FEWD. Only FEWD is allowed to edit/update website via the backend; any edits or updates needed by Client must be discussed with FEWD.

Exception: If Client’s website utilizes a blog/news feature, then Client will have limited access to the backend to write/upload blog articles.

Accreditation and Promotion

Accreditation: FEWD shall be entitled to place accreditation, as a hyperlink or otherwise, in the form, size and location as incorporated by FEWD in the footer of the Website.

Promotion: FEWD retains the right to reproduce, publish and display the Website in FEWD’s portfolios and websites, in galleries, design periodicals and other media or exhibits for the purposes of recognition of creative excellence or professional advancement, and to be credited with authorship of the Website in connection with such uses.

Relationship of Parties

Independent Contractor: FEWD is an independent contractor. FEWD shall determine, in its sole discretion, the manner and means by which the Services are accomplished. No agency, partnership, joint venture, or employee-employer relationship is intended or created. Neither party is authorized to act as agent or bind the other party except as expressly stated. FEWD and the work product or Deliverables prepared by FEWD shall not be deemed a work for hire as defined under Copyright Law. All rights granted to Client are contractual in nature and are expressly defined by the Policies.

No Exclusivity: By hiring FEWD, it does not create an exclusive relationship between the parties. Client is free to engage others to perform services of the same or similar nature of those provided by FEWD, and FEWD shall be entitled to offer and provide design services to others, solicit other clients and otherwise advertise the services offered by FEWD.

Disclaimer of Warranties

FEWD shall create a Website and/or perform Website services for Client’s purposes and to Client’s specifications. FEWD DOES NOT REPRESENT OR GUARANTEE THAT SAID WEBSITE WILL CREATE ANY ADDITIONAL PROFITS, SALES, EXPOSURE, BRAND RECOGNITION, OR THE LIKE. FEWD HAS NO RESPONSIBILITY TO CLIENT IF THE WEBSITE DOES NOT LEAD TO CLIENT’S DESIRED RESULT(S).

Refusal of Service

FEWD reserves the right to decline to do business with any Client for any reason.

Changes to Policies

FEWD reserves the right to change these Policies and terms of service at any time for any reason.
